Rajiv is an accomplished lawyer in the areas of corporate and commercial law and his practice includes advising on the structuring of private holding and operating companies in Mauritius and in merger and acquisition matters.

He has also advised on numerous transactional matters pertaining to real estate, tax and IP related matters.

Since joining BLC in February 2010, Rajiv has worked for financial institutions such as Credit Suisse and Standard Bank. He has advised on several cross border transactions including on an uncommitted revolving multi country and commodity stock finance facility transaction for an initial amount of up to USD 55 Million. The transaction involved a Mauritian entity acceding as a guarantor under the facility. Rajiv has further advised on the setting up of a Mauritian SPV in connection with an acquisition of shares in a foreign listed company for a transaction value of USD 150 million; advised on and oversaw the incorporation of Masawara (Mauritius) Ltd (the Company), a wholly owned subsidiary of Masawara PLC, and advised on the documentation to be entered into by the Company in connection with the acquisition of the entire issued share capital of FMI Zimbabwe (PVT) Ltd. The advice related to the Mauritius corporate and regulatory aspects in connection to the placing of ordinary shares of Masawara plc and the admission of the entire issued and to be issued share capital of Masawara Plc to trading on AIM.

Rajiv has also advised on a transaction involving a private equity fund investment in digital TV businesses and assets held by African entities in several African jurisdictions and which were in turn owned directly and indirectly by Mauritian entities. Rajiv also acted for an African bank in a project finance facility of USD 45 million for the purposes of financing a development project in Africa whereby a Mauritian entity entered into the guarantee under the facility.

He has also assisted a renowned international company in the acquisition of a resort in Mauritius. The acquisition was effected through a purchase of shares of the company operating the hotel. Rajiv has the responsibility of conducting a due diligence on the hotel, legal and tax related assistance and advise to the applicable laws of the country.

  • Advised a major international hotel group on the acquisition of the entire share capital of a Mauritius company owning one of the major hotels in Mauritius;
  • Advised a major Indian family investor on a restructuring of its investments out of Mauritius which involved a separation of the assets held by the family;
  • Advised a major international travel company on the acquisition by a third party of half of the entire share capital of a domestic company engaged in the hospitality industry in Mauritius.
  • Advised an African bank on the structuring of its investment through Mauritius for the acquisition of majority stakes in a Rwandan bank.
  • Advised a Luxembourg SICAR which invests in profitable larger scale agroforestry projects with high environmental and social impacts on the setting up of its vehicle in Mauritius for the purposes of investment into Africa.
  • Advised a hotels group in Mauritius in a joint venture entered into with a major international hotels group with respect to a restructuring of the group.
