Shan Sonagee

Shan Sonnagee is a lawyer at BLC Chambers since 2009 and is specialised in securities law, regulatory and compliance matters and corporate law. He holds a “Maîtrise en Droit” from the University of Avignon, France. He advises various investment funds (collective investment schemes and closed-end funds) and fund managers on their setting up process and also provides tax, structuring advice, on-going legal advice in respect of the investments of some of the funds and legal assistance on closings of the funds. He recently participated in the drafting of the Mauritius chapter in the 3rd edition of “Investment Funds 2016 – Sweet & Maxwell, International Series”.

He provided legal assistance in the setting up of a renewable energy private equity fund in Mauritius which targets to raise USD 200 million and also advised on the listing of a global fund on the Official List of the Stock Exchange of Mauritius. He assisted in the setting up of an investment fund which was formed as part of a merger and restructuring of two existing private equity funds under the laws of Mauritius.

Following the receipt of a Commonwealth Fellowship Award from the Association of Commonwealth Universities, Shan undertook a secondment of three months at Hogan Lovells International LLP (a UK Law Firm) where he worked in the investment funds and corporate finance team.

  • Legal adviser to over 40 funds (collective investment schemes and closed-end funds) and fund managers on the setting up process and provided on-going legal advice in respect of the funds’ investments, including tax and structuring advice.
  • Provided legal advice to the World Bank on corporate governance laws in Mauritius for the purpose of the Report on the Observance of Standards and Codes (ROSC).
  • Advised on securities law and capital market matters including listing of a global fund on the official list of the Stock Exchange of Mauritius.
  • Advised on transactions such as mergers and acquisitions involving major players from the international market and acted for various international companies and sophisticated investors in relation to acquiring shares in Mauritius companies.
  • Conducted different legal due diligences in relation to Mauritius targets for various clients.
